Clients retain ownership of all pre-existing materials, proprietary information, trademarks, and intellectual property provided to EchoReserve for use in marketing projects. We use such materials solely for approved project purposes.
EchoReserve retains the right to showcase completed work in our portfolio, case studies, and marketing materials unless specifically restricted by confidentiality agreements or client requests for non-disclosure.
Services are billed according to agreed-upon payment schedules outlined in individual Service Agreements. Typical payment structures include project milestones, monthly retainers, or completion-based payments depending on project scope and duration.
Payment is due within thirty (30) days of invoice date unless otherwise specified in the Service Agreement. All invoices include detailed breakdowns of services performed, milestones completed, and any applicable taxes or fees.
We accept payment by check, bank transfer, and major credit cards. International clients may use wire transfers with applicable fees. Payment processing fees may apply for certain payment methods as specified in invoices.
Past due accounts may incur late payment charges of 1.5% per month (18% annually) on outstanding balances. These charges begin accruing thirty (30) days after the original invoice due date.
EchoReserve reserves the right to suspend services for accounts with payments more than sixty (60) days past due. Work suspension affects project timelines and may result in additional costs for project restart and timeline recovery.
Billing disputes must be raised within thirty (30) days of invoice date through written communication. We commit to investigating all legitimate disputes promptly and working collaboratively to resolve any billing concerns.
While EchoReserve is committed to delivering exceptional marketing services and achieving positive outcomes for our clients, the nature of marketing and creative services involves inherent uncertainties and variables beyond our direct control. EchoReserve's total liability for any claims arising from our services shall not exceed the total amount paid by the client for services in the twelve (12) months preceding the claim. This limitation applies regardless of the legal theory under which liability is claimed.
In no event shall EchoReserve be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost business opportunities, or damages to reputation, even if we have been advised of the possibility of such damages.
Marketing and creative services involve numerous variables, market conditions, and external factors that affect outcomes. While we strive for excellence and positive results, EchoReserve does not guarantee specific business results, return on investment, market performance, or competitive advantages.
Success metrics and performance indicators are established collaboratively with clients, but achievement depends on multiple factors including market conditions, competitive landscape, execution quality, and timing that may be beyond our control.
Many marketing services rely on third-party platforms, services, and technologies. EchoReserve is not responsible for third-party service interruptions, policy changes, technical failures, or performance issues that may affect project outcomes or timelines.

Business Strategy & Plans: Strategic business plans, marketing strategies, expansion plans, competitive analysis, market research, and proprietary business methodologies shared during our engagement.
Financial & Performance Data: Financial information, performance metrics, sales data, customer information, pricing strategies, and any other commercially sensitive financial data.
Technical & Operational Information: Proprietary processes, technical specifications, operational procedures, supplier relationships, and any other information that provides competitive advantages.
Access Controls: Strict access controls ensure that client information is accessible only to team members directly involved in your project and authorized to handle such information.
Data Encryption & Storage: All client information is encrypted during transmission and storage using industry-standard security protocols. Physical and digital security measures protect against unauthorized access.
Team Training & Agreements: All EchoReserve team members undergo confidentiality training and sign comprehensive non-disclosure agreements before accessing any client information.
While we strive to build long-term partnerships with our clients, we recognize that business needs and circumstances change. These termination provisions ensure fair and professional conclusion of our business relationships when necessary.
Project-Based Services: Project-based engagements conclude upon completion of all deliverables and final payment. Either party may terminate with cause for material breach following thirty (30) days written notice and opportunity to cure.
Ongoing Retainer Services: Ongoing service relationships may be terminated by either party with thirty (30) days written notice. Final invoicing covers all work completed through the termination date.
Immediate Termination: Either party may terminate immediately for material breach, non-payment, confidentiality violations, or other serious defaults that cannot be reasonably cured.
Work Product Delivery: Upon termination, EchoReserve will deliver all completed work products and client materials in our possession, subject to payment of all outstanding invoices.
Continuing Confidentiality: Confidentiality obligations survive termination indefinitely. Both parties continue to protect confidential information received during the business relationship.
Transition Support: We provide reasonable transition support to ensure continuity of marketing activities and transfer of necessary information to new service providers when requested.
These Terms of Service and all related agreements are governed by the laws of the State of Delaware, without regard to conflict of law principles. This choice of law applies to contract interpretation, dispute resolution, and enforcement of these Terms.
Any legal disputes arising from these Terms or our business relationship shall be resolved exclusively in the state and federal courts located in Delaware. Both parties consent to the jurisdiction and venue of these courts for all legal proceedings.
Most disputes can be resolved through direct communication. We encourage clients to contact us immediately when concerns arise so we can work collaboratively toward resolution.
If direct negotiation is unsuccessful, disputes may be submitted to mediation through a mutually agreed mediator or mediation service. Mediation costs are shared equally between parties.
Legal action may be pursued only after good faith attempts at direct resolution and mediation. The prevailing party in any legal proceeding may be entitled to recover reasonable attorney fees and court costs.
